Stamp Duty on an Agreement to Sell in Karnataka: Possession, Adjustment and Registration

A buyer who signs a sale agreement in Karnataka is still not the owner, yet the stamp duty bill can come close to what the sale deed will carry. The deciding factor is whether the keys change hands before the deed. This article covers both duty levels, how an early payment is credited later, registration of the agreement and the position for new flats.
The Job the Agreement Does
In writing, this paper (an agreement to sell, or agreement for sale) pledges that the property will be passed to the buyer on a later date. Its terms cover price, payment dates, the day planned for the deed and the penalty if someone withdraws. The seller keeps title until a deed is registered.
The limit does not make it weak. A buyer can go to court on it, a bank normally wants it before disbursing a housing loan, and it steadies the terms during title verification. All three uses presume that the right stamp duty was paid.
Possession Splits Agreements Into Two Classes
Article 5(e) in the schedule to the Karnataka Stamp Act, 1957 governs agreements over immovable property. It creates two classes, and the handover of possession separates them.
- Early handover: possession is given, or agreed to be given, before the deed. Duty matches a sale deed's and is levied on market value, so a flat above Rs. 45 Lakhs bears 5% plus cess and surcharge, which is 5.6% altogether.
- Handover with the deed: the buyer gets the keys at registration. The agreement bears a tiny fraction of a per cent of the price, and the principal duty is paid with the deed.
In the first class the law treats the paper as a sale in all but name. The second class is the standard arrangement of a builder or a careful resale.
Paying Full Duty at the Agreement
Fit-out work is one reason buyers ask for keys early, and a seller who has relocated may prefer the buyer to look after the home. Once the agreement records this, deed-level duty falls due straight away.
The base is market value, taken as the price or, where higher, the guidance value. The slabs are 2% to Rs. 20 Lakhs, 3% from there to Rs. 45 Lakhs and 5% over that, and a 10% cess plus 2% surcharge on the duty give the top slab its 5.6%.
Language settles the class. A clause recording that possession has been delivered, or will be ahead of the deed, brings the higher duty. If a buyer needs entry just to take measurements or let a bank valuer in, the text should avoid calling that possession.
Paying a Small Duty at the Agreement
This covers most deals, including builder agreements on flats not yet finished. For a long time the duty could not exceed Rs. 20,000. An amending Act of 2023 removed that ceiling when it was notified on 3 February 2024, and the charge now rises with the price.
For the exact amount on a deal, the sub-registrar's office and Kaveri's online services are the places to ask. With the heavy duty put off until the deed, staged buyers send the largest sum to the state at the very end, typically as the last loan instalment arrives.
Credit at the Time of the Deed
Buyers are not billed twice for the same amount. Where the deed involves the same parties and property, the registrar deducts what was paid before and collects only the remainder. A remainder appears if, for example, the guidance value has gone up since.
Three practical points protect the credit.
- The deed must carry the same buyer and seller as the agreement.
- It should cite the date and registration number of the agreement.
- The stamped original and duty receipt must be produced at the registrar's office.
Changing the buyer can forfeit the credit. A deed made out to a spouse or a firm, after an agreement in one individual's name, may not qualify, so every co-buyer belongs in the agreement from the start.
Rs. 65 Lakhs Compared Two Ways
Imagine a resale flat sold at Rs. 65 Lakhs, with the guidance value below that. The figures below are illustrations only.
- Early possession: duty of Rs. 3.64 Lakhs (5.6%) is paid with the agreement. When the deed is signed, this is credited against its duty and a 2% registration fee of Rs. 1.3 Lakhs is added.
- Possession at the deed: a small duty alone is paid with the agreement. Rs. 3.64 Lakhs of duty and the Rs. 1.3 Lakhs fee are both paid at the deed.
The total is about equal, so the real difference is when the money goes out. Early possession pulls Rs. 3.64 Lakhs ahead by some weeks or months, just when the advance is due and a loan may still be undisbursed. The EMI calculator estimates the upfront cash required.
Registering the Agreement
Stamping and registration are separate. An agreement without possession keeps its force between the two sides when properly stamped, whether or not it is registered. Registration costs a fee but puts the agreement in the encumbrance certificate, which future buyers and banks consult.
Possession alters the position. Registration of the agreement is what protects a buyer in possession, under the Registration Act, from being evicted by the seller. Lenders funding at this stage commonly ask for the registered copy.
Too little stamp duty is a trap that springs late. Until the deficiency is paid, with a penalty of as much as ten times its amount, the document is not taken in evidence by a court. Getting the amount right at signing is much cheaper.
Flats Sold by Builders Under RERA
RERA projects follow tighter rules. A promoter may not accept more than 10% of the price, says section 13 of the RERA Act, before a written agreement for sale is entered into and registered. Karnataka's RERA rules give the format, with carpet area, payment schedule and possession date.
Possession comes after completion, so these fall in the small-duty class. The small duty and registration charges fall due at the agreement, with conveyance duty at the deed. Anyone looking at new projects in Bangalore should find out who bears these costs and budget for them with the booking amount.
Before the Pen Touches Paper
A handful of steps dispose of most duty doubts.
- Ask whether early possession is genuinely needed, since it advances all of the duty.
- Read the clause on possession against the duty paid.
- Add everyone who will appear on the deed as a party.
- Pay through the official e-stamp or Kaveri and file the receipt safely.
- Name a firm date for the deed, and keep it near.
- Ask a property lawyer to vet the draft ahead of any advance.
A suit for enforcement of a sale agreement has to start within three years from the date set for the deed. Because a long gap undermines the buyer, the period between agreement and deed should be short.
